Master Service Agreement.

The umbrella agreement for every Stacklumen engagement. MSA 2026.2 and your signed SOW together form the contract — and engaging our firm constitutes agreement to the complete set of terms on this page, in full. Read once, reference whenever.

01 / The agreement

How it works.

One master agreement, one signed SOW per engagement, and a set of published policies incorporated by reference. Together they are the contract.

// The contract
The MSA (2026.2) plus your signed SOW form the contract for each engagement. Where a signed SOW says something different about the same subject, the SOW controls for that engagement.
// What engaging means
By engaging Stacklumen’s services — signing an SOW, paying a deposit, or directing work to begin — you acknowledge and agree to the MSA and every document listed below, in full. If you accept on behalf of a company, you represent you have authority to bind it.
// Precedence
Signed SOW first, then the MSA, then the published policies below. Where documents overlap, the stricter protection applies.
// Prior versions
Agreements executed before May 11, 2026 — including under our prior names — are governed by the version signed. MSA 2026.1 covers engagements signed January 6 – May 10, 2026.

01 / Billing

Billing & cancellation

Services default to $150/hour unless your SOW says otherwise. Committing and then cancelling carries a $250 fee plus work performed.

02 / Conduct

Professional conduct

Respectful communication both ways. Abusive or hostile conduct toward the team is a material breach with immediate termination.

03 / IP

IP & licensing

Stacklumen retains authorship. You hold a license while invoices are current; full copyright transfer is available via the separation framework. Either way, what transfers is the site built for you — never the SAF framework behind it, which stays confidential. Tier definitions live on /copyright.

04 / AI & hosting

AI & hosting terms

Hosting runs on the all-inclusive monthly plan; AI usage is scoped to your own site — out-of-scope use accelerates receivables and ends the project with cause.
